Terms of Service
Last updated 11 July 2026
These Terms of Service ("Terms") govern your use of the Nualogic website at www.nualogic.com ("the Site") and the AI training, consulting, and related services we provide. By accessing the Site or booking any of our services, you agree to these Terms.
Nualogic is a trading name operated from 3 Ongar Distributor Road, Ongar Village, Dublin, D15 H34C, Ireland. For the purposes of these Terms, "we", "us", and "our" refer to Nualogic, and "you" refers to any visitor, customer, or client using the Site or our services.
1. Using the site
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that breaches Irish or EU law.
- Attempt to gain unauthorised access to any part of the Site, its systems, or data.
- Submit content through our forms that is unlawful, defamatory, or infringes the rights of others.
- Use automated tools to scrape, copy, or extract content from the Site without our written permission.
- Introduce viruses, malware, or any other malicious code to the Site.
We may modify, suspend, or discontinue any part of the Site at any time without notice. We are not liable to you if the Site is unavailable for any period.
2. Course bookings and payment
Our courses are listed on the Site with their level, duration, maximum participant numbers, and price per person. Prices are in euros (€) and include VAT where applicable. We reserve the right to change prices and course content at any time; the price and details in effect at the time of booking will apply to your booking.
To book a course, you must:
- Be at least 18 years of age.
- Provide accurate and complete booking information, including name, email, company, and billing details.
- Pay the full course fee at the time of booking, unless we have agreed alternative payment terms in writing.
We will send you a booking confirmation by email once your payment has been processed. Your place on a course is not confirmed until you receive this email. We accept payment by credit/debit card and bank transfer. If you require an invoice for bank transfer, contact us before booking.
For group bookings of five or more participants from the same organisation, contact us for a custom quote. Group bookings are subject to a separate agreement.
3. Cancellations and refunds
By you
If you need to cancel a course booking, please notify us in writing as soon as possible. Our cancellation and refund policy is as follows:
| Notice period | Refund |
|---|---|
| More than 14 days before the course | Full refund (minus processing fees) |
| 7–14 days before the course | 50% refund |
| Less than 7 days before the course | No refund, but you may send a substitute |
| After the course has started | No refund |
You may send a substitute colleague in your place at any time before the course starts, at no additional charge. Please notify us of the substitute's name and contact details in advance.
By us
We reserve the right to cancel or reschedule a course if:
- The minimum number of participants is not reached. In this case, we will offer you a full refund or a place on the next available date.
- Circumstances beyond our control make delivery impossible (for example, illness, venue issues, or force majeure events).
If we cancel a course, you will receive a full refund or the option to transfer to a future date. We are not liable for any travel, accommodation, or other incidental costs you may have incurred.
4. Consultation services
- Free consultations are provided at no cost for up to 30 minutes. Additional consulting time is chargeable at the agreed rate.
- Consultations are scheduled through our booking system. We reserve the right to reschedule with reasonable notice.
- Advice given during consultations is general in nature and based on the information you provide. We are not liable for outcomes that depend on factors outside our control.
- Any paid consulting engagement will be governed by a separate written agreement specifying scope, deliverables, fees, and timeline.
Paid consulting engagements (such as AI implementation guidance or bespoke training programmes) are subject to a separate statement of work or engagement letter. That document will take precedence over these Terms where there is any conflict.
5. Training delivery
Our courses are delivered in person at advertised venues in Ireland or at your premises by arrangement. The specific venue, date, and joining instructions will be confirmed by email before the course.
- Course materials are provided in digital format unless otherwise stated.
- Participants are expected to bring a laptop or suitable device for hands-on exercises.
- Course timings, breaks, and lunch arrangements will be communicated in joining instructions.
- We may record training sessions for internal quality purposes only, with your prior consent. We do not share recordings externally without explicit agreement.
Courses involve hands-on use of AI tools (such as ChatGPT, Claude, and Gemini). You are responsible for any accounts, subscriptions, or data you create while using these tools during or after the course.
6. Intellectual property
Our materials
All content on the Site and all training materials we provide — including slides, workbooks, exercises, frameworks (including the Trust Stack framework), videos, diagrams, and written content — are owned by Nualogic and protected by Irish and international intellectual property law.
When you attend a course, you receive a personal, non-exclusive, non-transferable licence to use the training materials for your own professional development and for internal use within your organisation. You may not:
- Redistribute, sell, or publicly share our training materials.
- Use our materials to deliver your own commercial training or consulting services.
- Remove or alter any copyright, trademark, or attribution notices.
- Reproduce or adapt the Trust Stack framework or any other proprietary methodology for commercial purposes without our written consent.
The Nualogic name and brand
"Nualogic", the Nualogic logo, and related brand assets are our trademarks. You may not use them without our prior written consent, except to refer to us factually (for example, "We completed AI training with Nualogic").
Site content
The text, design, graphics, and code of the Site are our intellectual property. You may view and print pages from the Site for your personal, non-commercial use. You may not reproduce, republish, or commercially exploit any part of the Site without our written permission.
7. Your content and data
If you submit content through our forms — such as enquiry details, AI Readiness Scorecard responses, or questions for a consultation — you confirm that you own or have the right to share that content, and that it does not infringe the rights of any third party.
We process your personal data in accordance with our Privacy Policy. You retain ownership of any documents, prompts, or outputs you create during training exercises.
Important: Do not submit confidential, proprietary, or sensitive information through our public forms. If you need to share sensitive material for a consulting engagement, we will provide a secure channel.
8. Limitation of liability
To the fullest extent permitted by Irish law, our total liability arising out of or relating to these Terms or your use of our services shall not exceed the amount you have paid us for the specific course or service giving rise to the claim, or €500, whichever is greater.
In no event shall Nualogic be liable for:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, business, goodwill, or data.
- Damages arising from your use of, or reliance on, third-party AI tools (such as ChatGPT, Claude, or Gemini) that we introduce during training. You use such tools at your own risk and subject to their own terms of service.
- Outcomes resulting from implementing AI in your business based on our training or advice. Our training is educational; you are responsible for decisions made in your business.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Irish law, including liability for death or personal injury caused by negligence, or liability for fraud or fraudulent misrepresentation.
9. Warranties and disclaimers
We warrant that our training courses will be delivered with reasonable care and skill, consistent with the description provided on the Site. We do not warrant that:
- The Site will be available at all times or free from errors.
- Any particular business outcome will result from our training or consulting.
- Third-party AI tools will remain available, accurate, or behave as demonstrated during training. AI tools evolve rapidly and their features may change.
The Site and all training materials are provided "as is" and "as available", without warranties of any kind, express or implied, except as required by Irish law.
10. Confidentiality
We treat information you share with us during consultations and training engagements as confidential. We will not disclose it to third parties except:
- Where required by law or by order of a court or competent authority.
- To our processors and team members on a need-to-know basis, subject to confidentiality obligations.
- With your prior written consent.
For paid consulting engagements, we will enter into a formal confidentiality agreement (NDA) if you require one. Please ask us before sharing sensitive business information.
11. Third-party AI tools
Our training involves hands-on use of third-party AI tools, including but not limited to ChatGPT (OpenAI), Claude (Anthropic), and Gemini (Google). These tools are owned and operated by their respective providers and are subject to their own terms of service and privacy policies.
We are not responsible for the availability, accuracy, or security of these tools. You are responsible for:
- Creating and managing your own accounts with AI tool providers where required.
- Understanding and complying with each provider's terms of service.
- Ensuring you do not input confidential or personal data into AI tools in a way that breaches your own organisation's policies or data protection obligations.
Our training includes guidance on safe-use practices and data protection considerations, but ultimate responsibility for how you use AI tools in your business rests with you and your organisation.
12. Termination
We may terminate or suspend your access to the Site or our services if you breach these Terms. Upon termination, all licences granted to you under these Terms will end immediately. Sections relating to intellectual property, liability, confidentiality, and governing law will survive termination.
If you wish to terminate a booking or consulting engagement, the cancellation terms in section 3 above (for courses) or your separate engagement agreement (for consulting) will apply.
13. Governing law and jurisdiction
These Terms and any dispute arising from them are governed by the laws of Ireland, including the Data Protection Act 2018 where relevant. The courts of Ireland shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, except where mandatory consumer protection law in your jurisdiction provides otherwise.
If you are a consumer (not acting in the course of a business), you may also have additional rights under Irish consumer protection law, including the Consumer Protection Act 2007 and the European Communities (Cross-Border Business-to-Consumer Electronic Commerce) Regulations, which cannot be excluded by these Terms.
Disputes may also be submitted to the European Commission's Online Dispute Resolution platform if you are a consumer resident in the EU.
14. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page indicates when they were last revised. Changes take effect when we publish the updated Terms on the Site. For material changes affecting existing bookings, we will notify you by email.
Your continued use of the Site or our services after changes are published constitutes acceptance of the updated Terms.
